Agreement between User and RYKOV LLC

WELCOME

Welcome to our mobile and online application, lifelineTM (respectively, the “App” and “Site” if accessing via computer).). Your compliance with these Terms and Condition with Online Privacy (“Terms of Use”) is a condition to your use of the App. 

The lifelineTM application is a product offering of RYKOV LLC (“RYKOV”). LifelineTM, (herein, “lifelineTM and/or the “App”) is comprised of various application interfaces of a mobile device and web pages operated by RYKOV. LifelineTMis offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms "). Your use of lifelineTM constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy of them for your reference. 

YOU AGREE TO ALLOW YOUR DATA BE UTILIZED FOR IMPROVING HEALTH, DISEASE, TREATMENTS, DIAGNOSIS, EDUCATION, TRAINING, AND KNOWLEDGE DEVELOPMENT FOR FUTURE GROWTH IN FORMAL MEDICINE AND ALTERNATIVE MEDICINE PRACTICES, OR OTHER HEALTHY LIFESTYLE CHOICES THAT IMPROVE A USER’S MIND, BODY AND SOUL. YOUR DATA WILL ALSO BE UTILIZED AS A PATIENT USER, OR PHYSICIAN USER, AS APPROPRIATE, TO SERVE GLOBAL HEALTH NEEDS AND IMPROVING PHYSICIAN TRAINING, EDUCATION, AND DATA OF WHICH COMPRISES VISUALIZATIONS THAT IMPROVE OVERALL USER KNOWLEDGE.

LifelineTM is a health information access application. The App offers a patient user access to his/her data, or via authorized proxy, and permits a user to authorize a physician access to health information of self-owned patient data, or by authorized proxy, in compliance with the 1996 Health Insurance Portability and Accountability Act (HIPAA), the 2000 Health and Human Services (HHS) Privacy Rule, the 2009 Health Information Technology for Economic and Clinical Health Act (HITECH Act), 2013 Omnibus Rule, 2016 Privacy Rule Guidance (and 21st Century Cures ACT), 2020 Cares Act: Coronavirus Aid, Relief, Economic Security Act, and 2024 21st Century Cures Act Disincentives. 

LifelineTM is a health app, similar to a hybrid health portal and a social app, where end-users create a profile, access personal health records, answer health and brief lifestyle questions, and are then connected with individuals in the global community in areas of health interests.  [MD1] Physicians connect as requested by his/her patient users and are also end-users who will facilitate health information exchange to improve health outcomes, the exchange among a community of physician end-users in a safe, secure, and professional manner. Physician engagement within the App facilitates improved clinical knowledge based on patient shared data and data visualization tools, directly from their mobile device or web application. 

If you have any questions regarding the App, your account or any other question, please use the link at the bottom of this webpage and/or the “contact us” available within the App. The content of the App, including without limitation, the files, documents, text, photographs, images, audio, and video, and any materials accessed through or made available for use or download through the App (“Content”) may not be copied, distributed, modified, reproduced, published or used, in whole or in part, except for purposes authorized or approved in writing by RYKOV and/or LifelineTM administration.

Privacy

Your use of the App is subject to the RYKOV’s lifelineTM Privacy & Security Policy (“Privacy Policy”). Please review the Privacy & Security Policy, which also governs the App and informs users of our data collection practices. 

Electronic Communications

Visiting the App or sending emails to contacts of RYKOV or lifelineTM constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that are provided to you electronically, via email and on the App, satisfy any legal requirement that such communications be in writing. 

Your Account and Your Data

If you use this App, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer and/or mobile device, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that neither RYKOV nor lifelineTM are responsible for third party access to your account that results from theft or misappropriation of your account. RYKOV and lifelineTM, and its associates, reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion. 

You agree to do your part to protect your privacy and security. RYKOV makes every effort to keep your health information secure and confidential. But even the most secure system can be violated. When you use lifelineTM, you accept this risk.  You also agree to do the following things to help keep your information secure:

·  You will keep your login ID and password secure. If someone else learns your login ID and password, they could access your personal health information. You are responsible for keeping your login ID and password safe and secure.

·  You will never be asked for your lifelineTM username and password in an email. Please do not respond to any emails that ask for this information. If you have already responded, change your password right away.

·  Putting information in lifelineTM makes it part of your lifelineTM profile and/or medical record. You have control and ownership of your data within lifelineTM, and once imported, shared, and/or exported outside of lifelineTM, you remain in control and ownership of the data.  If you have sensitive information that you do not want shared, do not download data from lifelineTM, export from lifelineTM, or utilize community, groups, or other features of lifelineTM that would allow sharing. By inviting your physician or health provider to join lifelineTM you are authorizing health professionals within lifelineTM to view your personal identifiable information (PII), data analytics and trends, to collaborate on providing you better care and improved personal health clinical outcomes; and you also authorize health professionals within lifelineTM to view data that is aggregated in de-identified form for purposes of broader global clinical health knowledge and education.  Hospital and clinic personnel who have permission to look at your medical records may also be able to see this information if you authorize release to a physician or export data files to a provider health system.

·  It is your job to protect your personal data. Do not share data or do not use lifelineTM to share data in any way that would jeopardize and/or risk others having access or visibility to your data.  

·  It is your job to protect and secure your computer. You are responsible for making sure that your computer is protected against viruses and other malware.

·  LifelineTM Content follows all federal laws, state laws and regulations on the privacy and security of personal health information (PHI). To learn more, please see RYKOV’s LIFELINETM PRIVACY & SECURITY POLICY.

·  If you are worried that someone has accessed your PHI, please contact us at https://www.lifeline.global, email lifelineTM Customer Support at Support@lifeline.global or call xxx-xxx-xxxx.

Personal and De-Identified Data

You agree to protect your personal data as reasonably necessary in the use of any electronic or data system. Data entered into the App, whether personal health information (PHI) or personal identifiable information (PII), is your responsibility. 

·  You are in control and ownership of your PHI and PII. 

·  Any information you disclose in the App under community, lifestyle, communications, posts, activity feeds, via email, text, messaging, or otherwise is at your sole control, ownership and discretion. YOU ARE RESPONSIBLE FOR THE DATA YOU ENTER INTO THE APP, AND ANY DATA OR UPLOAD, DOWNLOAD, COPY/PASTE, OR NOTATE IN THE APP.

·  YOU AGREE to allow your data be utilized for improving health, disease, treatments, diagnosis, education, training, and knowledge development for future growth in formal medicine and alternative medicine practices, or other healthy lifestyle choices that improve a users healthy mind, body and soul. The data you enter into the App when setting up your lifelineTM account or via survey information data entry for features of the App will be utilized for such purposes. Your PII/PHI will be analyzed for creating visualizations of your data and health trends to your personal user interface. Your data and data analytics, however, for better understanding population health and global trends, will be DE-IDENTIFIED for use in understanding health and disease to a broader user base and for purposes of population health and visualization of global health trends; your participation in the App is conditioned upon on your acceptance of these terms, and once de-identified, your are no longer personally identifiable and information will not be used to re-identify your person. 

Children Under 12

RYKOV, and lifelineTM, do not knowingly collect, either online or offline, personal information from persons under the age of 12. If you are 12-18 years of age, you may use the App only with permission of a parent or guardian. 

Children under the age of 12 are not permitted to use the App and should not attempt to register or provide any personal information to the App.

If RYKOV or lifelineTM administrators determine that it has collected personal information from a child under the age of 12, lifelineTM administrators will promptly delete that information. If you believe the App has collected information provided by a child under the age of 12, please contact RYKOV or lifelineTM, such contact information accessible within the App, available at https://www.lifeline.global and within this Agreement.

Limited License

You have a limited license to use lifelineTM for your personal use ONLY. This use falls under the Terms of Use described here, in this Agreement. You cannot reproduce the App, website, and/or any of its associated content and services. You also cannot use the App, website, and/or any of its associated content and services for your own profit.

You are not allowed to collect or use other people’s email addresses or health information or attempt to identify or re-identify users within the system who have sought de-identification or anonymity. 

Any reverse engineering, or data extraction, data mining or otherwise on lifelineTM is strictly prohibited. Please contact RYKOV or lifelineTM if you become aware of this violation or if you seek additional information to these terms: Support@lifeline.global.

Links to Third Party Apps/Third Party Services

The App may contain links to other websites or applications ("Linked Apps"). The Linked Apps are not under the control of RYKOV or lifelineTM; and neither RYKOV nor lifelineTM is not responsible for the contents of any Linked App, including without limitation any link contained in a Linked App, or any changes or updates to a Linked App. RYKOV or lifelineTM may provide these links to you only as a convenience, and the inclusion of any link does not imply endorsement by RYKOV or the App or any association with its operators. 

Certain services made available via the App are delivered by third party apps and organizations. By using any product, service or functionality originating from the App, you hereby acknowledge and consent that RYKOV may share such information and data with any third party with whom RYKOV has a contractual relationship to provide the requested product, service or functionality on behalf of the RYKOV App users and lifelineTM customers. 

No Unlawful or Prohibited Use/Intellectual Property

Patents

LifelineTM is protected by an issued U.S. patent, including rights in pending patent applications. Any know-how to use the App, access its contents, functionality, including information at the designed user interface is owned exclusively by RYKOV and lifelineTM, subject to enforcement.

Copyright and Trademarks

All the content on the lifelineTM app and website is protected by U.S. and international copyright law. This includes:

·  Photographs

·  Graphics, images, artwork, button icons, or logos

·  Names

·  Trademarks or service marks

·  Data

·  Any other content

You cannot reproduce any of this content, in whole or in part, unless you have written permission from RYKOV or lifelineTM.

You are granted a non-exclusive, non-transferable, revocable license to access and use the App strictly in accordance with these Terms of Use. As a condition of your use of lifelineTM, you warrant to RYKOV and lifelineTM that you will not use lifelineTM for any purpose that is unlawful or prohibited by these Terms. You may not use lifelineTM in any manner which could damage, disable, overburden, or impair lifelineTM or interfere with any other party's use and enjoyment of lifelineTM. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through lifelineTM.

All content included as part of the App or services associated with the App,  such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the App, is the property of RYKOV, lifelineTM, or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto. 

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the App. RYKOV and lifelineTM Content is not for resale. Your use of the App does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any Content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of RYKOV, lifelineTM, and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of RYKOV, lifelineTM, or our licensors except as expressly authorized by these Terms. 

You are prohibited from performing any act that RYKOV or lifelineTM, in its sole discretion may deem to be inappropriate and/or would be deemed to be an unlawful act or is prohibited by any laws applicable to this application including but not limited to, uploading files that contain viruses that may cause damage to the property of RYKOV, lifelineTM, or the property of other individuals; and posting or transmitting to this application any non-authorized material including material that is likely to cause annoyance, is detrimental to or in violation of RYKOV, lifelineTM, or any third party´s systems or network security, libelous, defamatory, racist, obscene, threatening, pornographic, profane or is otherwise unlawful.

Third Party Accounts

You will be able to connect your lifelineTM account to third party accounts. By connecting your lifelineTM account to your third-party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party applications.) If you do not want information about you to be shared in this manner, do not use this feature. 

International Users

The App is controlled, operated and administered by RYKOV and lifelineTM from our offices within the United States of America.  If you access the App from a location outside the United States of America, you are responsible for compliance with all local laws. You agree that you will not use the content accessed through the App in any country or in any manner prohibited by any applicable laws, restrictions or regulations. 

Indemnification

You agree to indemnify, defend and hold harmless RYKOV, lifelineTM, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the App or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. RYKOV and lifelineTM reserve the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with RYKOV and/or lifelineTM in asserting any available defenses. 

Arbitration

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms of Use, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms of Use, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree to arbitrate all disputes and claims in regard to these Terms of Use or any disputes arising as a result of these Terms of Use, whether directly or indirectly, including tort claims that are a result of these Terms of Use. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms of Use. 

Class Action Waiver

Any arbitration under these Terms of Use will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, SEPARATELY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and RYKOV/LIFELINETM agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. 

DISCLAIMER OF WARRANTIES and LIMITATION OF LIABILITY

THIS APP, WEBSITE, ITS CONTENT AND ALL SITE-RELATED SERVICES ARE PROVIDED “AS IS,” WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED. THIS INCLUDES, BUT IS NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

YOU ASSUME SOLE RESPONSIBILITY AND RISK FOR YOUR USE OF THE APP, ALL SITE-RELATED SERVICES AND THIRD PARTY WEBSITES, INCLUDING THE RISK OF ANY AUTHORIZED DISCLOSURE OF CONFIDENTIAL MEDICAL INFORMATION RESULTING FROM YOUR FAILURE TO KEEP YOUR LIFELINETMPASSWORD SECURE, OR FOR ANY DAMAGE TO YOUR COMPUTER OR SOFTWARE.

NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY THE APP, ITS PHYSICIANS, AFFILIATES OR OTHER HEALTHCARE PROFESSIONALS, ANY PATIENT OR OTHER USER, SHALL CREATE A WARRANTY OF ANY KIND. ANY REFERENCES TO SPECIFIC PRODUCTS OR SERVICES ON THIS WEBSITE DO NOT CONSTITUTE OR IMPLY A RECOMMENDATION OR ENDORSEMENT BY RYKOV OR LIFELINETMUNLESS SPECIFICALLY STATED OTHERWISE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE APP, WEBSITE, SITE-RELATED SERVICES, OR THIRD PARTY WEBSITES IS TO STOP USING LIFELINETM OR THOSE SERVICES. IN OTHER WORDS, YOU ACCEPT SOLE RESPONSIBILITY FOR ANY RISKS THAT ARE INVOLVED IN USING LIFELINETM. THIS INCLUDES THINGS LIKE THE RISK OF SOMEONE GETTING ACCESS TO YOUR CONFIDENTIAL MEDICAL INFORMATION, OR ANY DAMAGE THAT MIGHT HAPPEN TO YOUR COMPUTER. RYKOV AND LIFELINETM, AND ANY AFFILIATES OR ASSOCIATES, ARE NOT RESPONSIBLE FOR ANY PROBLEMS THAT YOU MIGHT HAVE FROM USING LIFELINETM. IF YOU ARE NOT SATISFIED WITH LIFELINETM, YOUR ONLY OPTION IS TO STOP USING IT.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE APP MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. RYKOV, LIFELINETM, AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE APP AT ANY TIME. 

RYKOV, LIFELINETM, AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE APP FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. RYKOV AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RYKOV, LIFELINETM, AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE APP, WITH THE DELAY OR INABILITY TO USE THE APP OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE APP, OR OTHERWISE ARISING OUT OF THE USE OF THE APP, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF RYKOV OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE APP, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE APP. 

Termination/Access Restriction

RYKOV and/or lifelineTM reserves the right, in its sole discretion, to terminate your access to the App and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this Agreement is governed by the laws of the State of Georgia, and you hereby consent to the exclusive jurisdiction and venue of courts in Georgia in all disputes arising out of or relating to the use of the App. Use of the App is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section. 

You understand that lifelineTM may not be available sometimes. The App may not be available because of system failures, maintenance, and backup procedures, power outages, and other causes.  If you need to get in touch with your physician, please call them directly or visit their office. The App does NOT provide direct access to your physician. 

You understand that the App may be shut down at any time. The App is provided as a convenience to you. LifelineTM may be shut down at any time and for any reason without notice to you. 

You may cancel your account and your participation in lifelineTM at any time by contacting Customer Support at Support@lifeline.global, calling xxx-xxx-xxxx or by using the “Contact Us” feature with the App. Any personal data may be deleted, including any identifiable health information. Data entered into the App may be identifiable at the user interface; any use of personal data in analytics or depictions of data are visible to the user to whom the data belongs. In addition, data entered into the App is de-identified for use across lifelineTM business purposes in understanding health and disease, population health, and visualization of global health trends of all users; your participation in the lifelineTM is conditioned based on your acceptance of these terms, and once de-identified, you are no longer personally identifiable and information will not be used to re-identify your person. As such personally identifiable information will be deleted upon request to delete your account and access; any request to delete de-identifable information would need to be specified at the time of deletion of your account.  

No Joint Venture, No Partnership or Agency Relationship

You agree that no joint venture, partnership, employment, or agency relationship exists between you and RYKOV, or you and lifelineTM, as a result of this Agreement or use of the App. RYKOV and lifelineTM performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement is in derogation of RYKOV’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the App or information provided to or gathered by RYKOV with respect to such use. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect. 

Entire Agreement

Unless otherwise specified herein, this Agreement constitutes the entire agreement between the user and RYKOV, and the user and lifelineTM, with respect to the App and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and RYKOV, or the user and lifelineTM, with respect to the Terms of Use of the App. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this Agreement and all related documents be written in English. 

You understand that lifelineTM includes the medical records and health data that you choose to upload to the App or the Site. Your medical records provided by third party health providers, hospitals, institutions, medical practices, and physician offices may not be complete. The App will only upload the records (as requested by the user who has ownership and control of his/her health data) available within the designated electronic health records (EHRs) designated in lifelineTM, and only as available with the third party provider. LifelineTM does not control or have any authority in the operation of third party EHR systems.  Some kinds of medical information will never appear in the EHR, and therefore never appear in lifelineTM.
