End User License Agreement

This mobile Application End User License Agreement with PRIVACY & SECURITY Terms

("Agreement") is a binding agreement between you ("End User" or "you") and RYKOV LLC.

("Company"). This Agreement governs your use of the lifelineTM mobile Application (the

Software Product”) on a single mobile device owned or otherwise controlled by you (the

"Application"). The Application and Software Product is licensed, not sold, to you.

This Application and Software Product is protected by copyright laws and treaties, as well as laws

and treaties related to other forms of intellectual property. RYKOV LLC or its subsidiaries,

affiliates, and suppliers (collectively "RYKOV") own intellectual property rights in the Software

Product. The Licensee's ("you" or "your") license to download, use, copy, or change the

Application and/or Software Product is subject to these rights and to all the terms and conditions

of this lifelineTM End User License Agreement including Privacy and Security terms (the

"Agreement").

DO NOT CONTINUE.

BY CLICKING THE “ACCEPT” and “AGREE BUTTON OR BY DOWNLOADING,

INSTALLING OR OTHERWISE USING THE APPLICATION, OR BY INSTALLING, USING,

OR COPYING THE SOFTWARE PRODUCT, YOU (A) ACKNOWLEDGE THAT YOU HAVE

READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT THAT YOU ARE 18

YEARS OF AGE OR OLDER/OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT,

OR AUTHORIZED BY A PARENT IF between 13 and 17 YEARS OF AGE; AND (C) ACCEPT

THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF

YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL OR USE

THE APPLICATION AND DELETE IT FROM YOUR MOBILE DEVICE.

YOU MUST AGREE TO ALL OF THE TERMS OF THIS AGREEMENT BEFORE YOU

WILL BE ALLOWED TO ENTER THE APPLICATION. IF YOU DO NOT AGREE TO

ALL OF THE TERMS OF THIS AGREEMENT, YOU MUST SELECT "DECLINE" AND

YOU MUST NOT INSTALL, USE, OR COPY THE SOFTWARE PRODUCT.

THESE TERMS MAY BE CHANGED FROM TIME TO TIME AND WITHOUT

FURTHER NOTICE. YOUR CONTINUED USE OF THE APPLICATION AND

SOFTWARE PRODUCT AFTER ANY SUCH CHANGES CONSTITUTES YOUR

ACCEPTANCE OF THE NEW TERMS.

RYKOV may impose limits on certain features and services or restrict your access to parts or all

of the Software Product without notice or liability. RYKOV may terminate your use of the

trademark license.

you may have with RYKOV or its parents, subsidiaries or affiliates.

License Grant

This Agreement entitles you to install and use one copy of the Software Product. In addition, you

may make one archival copy of the Software Product. The archival copy must be on a storage

medium other than a hard drive and may only be used for the reinstallation of the Software

Product. This Agreement does not permit the installation or use of multiple copies of the

Software Product, or the installation of the Software Product on more than one computer at any

given time, on a system that allows shared used of applications, on a multi-user network, or on

any configuration or system of computers that allows multiple users. Multiple copy uses or

installation is only allowed if you obtain an appropriate licensing agreement for each user and

each copy of the Software Product.

Proprietary Rights

Copyrights. All content of the Software Product, including but not limited to design, text,

software, technical drawings, configurations, graphics, other files, and their selection and

arrangement ("Content"), are either copyright-protected expression of RYKOV or used under

republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in

whole or in part, without RYKOV's prior written permission, except that you may download and

print content for uses that are non-commercial and not derogatory to RYKOV, provided that you

keep all copyright or other proprietary notices intact. Please note that this limited consent may be

revoked at any time and does not include consent to republish Content on any Internet, Intranet or

Extranet site, social media platform, or to incorporate the information in any other database or

compilation. Any other use of the Content is strictly prohibited. You further agree that you will

not systematically extract, collect or harvest, through electronic means or otherwise, any data or

data fields from this Software Product, including but not limited to, user identities.

Trademarks. All trademarks of the Software Product are either trademarks or registered

trademarks of RYKOV or its affiliates or used under trademark license and may not be copied,

imitated, or used, in whole or in part, without the prior written permission of RYKOV. All page

headers, custom graphics, button icons, and scripts are service marks, trademarks and/or trade

dress of RYKOV or its affiliates, and may not be copied, imitated, or used, in whole or in part,

without the prior written permission of RYKOV. Other trademarks, registered trademarks, product

names, and company names or logos displayed within the Software Product are the property of

their respective owners.

Patents. RYKOV's products and processes are covered by one or more patents and are subject to

other trade secret and proprietary rights. RYKOV reserves all such rights. No transfer or grant of

rights under any patents is made or is to be implied by any provision of this Terms of Use. You

trademark license.

RYKOV's products or processes. You agree not to copy, distribute, sell, modify, decompile,

reverse engineer, disassemble or create derivative works from any Software.

User Conduct

General

In using this Software Product, you agree:

(a) not to disrupt or interfere with the security of, or otherwise abuse, the Software Product, or

any services, system resources, accounts, servers or networks connected to or accessible through

the Software Product, or affiliated or linked Web sites;

(b) not to disrupt or interfere with any other user's enjoyment of the Software Product or

affiliated or linked Web sites;

other harmful, disruptive or destructive files;

(d) not to use or attempt to use another's account, service or system without authorization from

RYKOV, or create or use a false identity on the Software Product;

(e) not to transmit through or on the Software Product spam, chain letters, junk mail or any other

type of unsolicited mass email to people or entities who have not agreed to be part of such

mailings;

(f) not to divulge your username and password to others either on or off the Software Product;

(g) not to attempt to obtain unauthorized access to the Software Product or portions of the

Software Product which are restricted from general access; and,

(h) not use the Software Product to seek, provide or obtain specific medical advice, medical

opinion, diagnosis or treatment as applied to a patient’s particular condition or situation. In

addition, you agree that you are solely responsible for actions and communications undertaken or

transmitted under your account, and that you will comply with all applicable local, state, national

and international laws and regulations, including but not limited to United States export

restrictions, that relate to your use of or activities on the Software Product. The Software Product

is controlled and operated in the United States. If you are in a jurisdiction which restricts you

from accessing the Software Product, do not access or use the Software Product. RYKOV makes

no representation that the Software Product is appropriate or available for use outside the United

States.

Online Communities and Other Interactive Areas

The Software Product contains areas where you may post and share comments with other Software

Product users on a variety of subjects. You agree that you will not post or otherwise disseminate

on or through the Software Product that is unlawful, harassing, libelous, tortious, abusive,

offensive, threatening, or obscene communications or material of any kind, or materials which

infringe or violate any third party's copyright, trademark, trade secret, privacy or other proprietary

or property right, or that could constitute a criminal offense, give rise to civil liability or otherwise

violate any applicable law or regulation; or, that are otherwise objectionable, including without

limitation, content that evidences bigotry, racism, sexism, or hatred, or that promotes illegal

activities, including without limitation unauthorized uses of medical devices, or physical harm

RYKOV and its affiliates and parties with whom RYKOV has contracted for purposes of hosting

or maintaining the Software Product from all claims based upon communications made or

materials posted by others or the use by third parties of the Software Product.

You expressly agree that you will not discuss or refer to any particular user, any particular user's

medical condition or any other information which could identify a particular user/patient. You

further expressly agree that you will not discuss, endorse or refer to "off label" uses of medical

products, including any uses which have not been approved by the U.S. Food and Drug

Administration or other applicable regulatory agency.

Online Communications On and Through the Site

Except as otherwise provided in PRIVACY below, you agree that any communications you

transmit to anyone through the Software Product or copyrighted works you post on the Software

Product, including, without limitation, questions, comments, suggestions, ideas, plans, notes,

drawings, configurations, specifications, purchase orders, quotes or requests for quotes,

performance data, account information, or other material, data or information (collectively,

"Information"), are non-confidential and upon transmission of such Information to RYKOV via

email or other means you grant to RYKOV an irrevocable, non-exclusive, royalty-free,

sublicensable, worldwide license (including but not limited to a copyright license) to use such

Information in any media for any purpose.

Privacy

You acknowledge and agree that RYKOV may use the data collected in the course of our

relationship for the purposes identified in our Privacy & Security Policy, which is incorporated by

reference as if fully set forth in these Terms of Use.

Restrictions on Transfer

Without first obtaining the express written consent of RYKOV, you may not assign your rights

and obligations under this Agreement, or redistribute, encumber, sell, rent, lease, sublicense, or

otherwise transfer your rights to the Software Product.

Restrictions on Use

You may not use, copy, or install the Software Product on any system with more than one

computer, or permit the use, copying, or installation of the Software Product by more than one

user or on more than one computer. If you hold multiple, validly licensed copies, you may not use,

copy, or install the Software Product on any system with more than the number of computers

permitted by license, or permit the use, copying, or installation by more users, or on more

computers than the number permitted by license.

You may not decompile, "reverse-engineer", disassemble, or otherwise attempt to derive the

trademark license.

Restrictions on Alteration

You may not modify the Software Product or create any derivative work of the Software Product

or its accompanying documentation. Derivative works include but are not limited to translations.

You may not alter any files or libraries in any portion of the Software Product.

Restrictions on Copying

You may not copy any part of the Software Product except to the extent that licensed use inherently

demands the creation of a temporary copy stored in computer memory and not permanently affixed

on storage medium. You may make one archival copy which must be stored on a medium other

than a computer hard drive.

Links and Third Party Content

The Software Product may from time to time contain links to other Web sites. These links are

provided as a convenience and do not constitute an endorsement, sponsorship or recommendation

by RYKOV of -- or responsibility for -- the linked Web sites or any content, services or products

available on or through such sites.

Third Party Content

The Software Product may from time to time contain material, data or information provided,

posted or offered by third parties, including but not limited to advertisements or postings in online

community discussions. You agree that neither RYKOV nor its affiliates shall have any liability

whatsoever to you for any such third party material, data or information.

Limited Software Product Warranty

For a period of 30 days from the date of shipment or from the date that you download the Software

Product, as applicable, RYKOV warrants that when properly installed and used under normal

conditions, the Software Product will perform substantially as advertised.

Disclaimer of Warranties and Limitation of Liability

THE SOFTWARE PRODUCT AND THE CONTENT AVAILABLE THROUGH IT ARE

PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU EXPRESSLY AGREE

THAT USE OF THE SOFTWARE PRODUCT AND/OR ITS CONTENT IS AT YOUR SOLE

RISK. UNLESS OTHERWISE EXPLICITLY AGREED TO IN WRITING BY RYKOV, AND

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, RYKOV

MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW,

INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF

MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OTHER THAN AS

SET FORTH IN THIS AGREEMENT OR IN THE LIMITED WARRANTY DOCUMENTS

YOU EXPRESSLY AGREE THAT USE OF THE PRODUCT SOFTWARE, INCLUDING ALL

CONTENT, DATA OR SOFTWARE DISTRIBUTED BY, DOWNLOADED OR ACCESSED

FROM OR THROUGH THE PRODUCT SOFTWARE, IS AT YOUR SOLE RISK. YOU

UNDERSTAND AND AGREE THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY

DAMAGE TO YOUR BUSINESS, YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT

RESULTS FROM THE DOWNLOAD OF SUCH CONTENT, DATA AND/OR SOFTWARE.

RYKOV makes no warranty that the Software Product will meet your requirements or operate

under your specific conditions of use. RYKOV makes no warranty that operation of the Software

Product will be secure, error free, or free from interruption. YOU MUST DETERMINE

WHETHER THE SOFTWARE PRODUCT SUFFICIENTLY MEETS YOUR

REQUIREMENTS FOR SECURITY AND UNINTERRUPTABILITY. YOU BEAR SOLE

RESPONSIBILITY AND ALL LIABILITY FOR ANY LOSS INCURRED DUE TO FAILURE

OF THE SOFTWARE PRODUCT TO MEET YOUR REQUIREMENTS. RYKOV WILL NOT,

UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE FOR THE LOSS OF

DATA ON ANY COMPUTER OR INFORMATION STORAGE DEVICE.

UNDER NO CIRCUMSTANCES SHALL RYKOV, ITS DIRECTORS, OFFICERS,

EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY OTHER PARTY FOR INDIRECT,

CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES

OF ANY KIND (INCLUDING LOST REVENUES OR PROFITS OR LOSS OF BUSINESS)

RESULTING FROM THIS AGREEMENT, OR FROM THE FURNISHING, PERFORMANCE,

INSTALLATION, OR USE OF THE SOFTWARE PRODUCT, WHETHER DUE TO A

BREACH OF CONTRACT, BREACH OF WARRANTY, OR THE NEGLIGENCE OF RYKOV

OR ANY OTHER PARTY, EVEN IF RYKOV IS ADVISED BEFOREHAND OF THE

POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT THE APPLICABLE

JURISDICTION LIMITS RYKOV'S ABILITY TO DISCLAIM ANY IMPLIED

WARRANTIES, THIS DISCLAIMER SHALL BE EFFECTIVE TO THE MAXIMUM EXTENT

PERMITTED.

YOU ACKNOWLEDGE THAT RYKOV DOES NOT CONTROL INFORMATION,

PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES THROUGH THE SOFTWARE

PRODUCT. EXCEPT AS OTHERWISE AGREED IN WRITING, RYKOV AND ITS

AFFILIATES ASSUME NO RESPONSIBILITY FOR AND MAKE NO WARRANTY OR

REPRESENTATION AS TO THE ACCURACY, CURRENCY, COMPLETENESS,

RELIABILITY OR USEFULNESS OF ANY ADVICE, OPINION, STATEMENT OR OTHER

CONTENT OR OF ANY PRODUCTS OR SERVICES DISTRIBUTED OR MADE

AVAILABLE BY THIRD PARTIES THROUGH THE SOFTWARE PRODUCT. RYKOV

DOES NOT MAKE ANY WARRANTY THAT THE SOFTWARE PRODUCT OR ITS

CONTENT WILL MEET YOUR REQUIREMENTS, OR THAT THE SOFTWARE PRODUCT

OR ITS CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR

THAT DEFECTS, IF ANY, WILL BE CORRECTED. NOR DOES RYKOV MAKE ANY

WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE

OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH USE OF THE

SOFTWARE PRODUCT.

RYKOV ASSUMES NO RESPONSIBILITY FOR ANY DAMAGES SUFFERED BY A USER,

INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA FROM DELAYS, NONDELIVERIES

OF CONTENT OR EMAIL, ERRORS, SYSTEM DOWN TIME, MISDELIVERIES OF

CONTENT OR EMAIL, NETWORK OR SYSTEM OUTAGES, FILE CORRUPTION, OR

SERVICE INTERRUPTIONS CAUSED BY THE NEGLIGENCE OF RYKOV, ITS

AFFILIATES, ITS LICENSORS, OR A USER'S OWN ERRORS AND/OR OMISSIONS.

EXCEPT AS SPECIFICALLY PROVIDED HEREIN, RYKOV DISCLAIMS ANY

WARRANTY OR REPRESENTATION THAT CONFIDENTIALITY OF INFORMATION

TRANSMITTED THROUGH THE SOFTWARE PRODUCT WILL BE MAINTAINED IF A

USER AUTHORIZES AND SHARES DATA WITH ANY OTHER USER THROUGH THE

SOFTWARE PRODUCT ITSELF OR OTHER THIRD PARTY APPLICATIONS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU

FROM RYKOV OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT

EXPRESSLY STATED IN WRITING. SOME STATES DO NOT ALLOW THE LIMITATION

OR EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS, SO SOME OF THE

ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of Remedies and Damages

Your remedy for a breach of this Agreement or of any warranty included in this Agreement is the

correction or replacement of the Software Product. Selection of whether to correct or replace shall

be solely at the discretion of RYKOV. RYKOV reserves the right to substitute a functionally

equivalent copy of the Software Product as a replacement. If RYKOV is unable to provide a

replacement or substitute Software Product or corrections to the Software Product, your sole

alternate remedy shall be a refund of the purchase price for the Software Product exclusive of any

costs for shipping and handling.

Any claim must be made within the applicable warranty period. All warranties cover only defects

arising under normal use and do not include malfunctions or failure resulting from misuse, abuse,

neglect, alteration, problems with electrical power, acts of nature, unusual temperatures or

humidity, improper installation, or damage determined by RYKOV to have been caused by you.

All limited warranties on the Software Product are granted only to you and are non-transferable.

You agree to indemnify and hold RYKOV harmless from all claims, judgments, liabilities,

expenses, or costs arising from your breach of this Agreement and/or acts or omissions.

Governing Law, Jurisdiction and Costs

This Agreement is governed by the laws of Georgia, without regard to Georgia's conflict or choice

trademark license.

Severability

If any provision of this Agreement shall be held to be invalid or unenforceable, the remainder of

this Agreement shall remain in full force and effect. To the extent any express or implied

restrictions are not permitted by applicable laws, these express or implied restrictions shall remain

in force and effect to the maximum extent permitted by such applicable laws.
